KEYNOTES MUSIC LICENSE AGREEMENT

Welcome to KeyNotes Music, and thank you for licensing our group piano program.

By purchasing a KeyNotes Music license, you are entering into an agreement that allows you to use our curriculum, resources, and training materials to deliver KeyNotes Music classes in your own studio, subject to the terms below.

This Agreement sets out how the license works, what you can access, and how we’ll work together.

1. The Program and Your License

As an active KeyNotes Music licensee, you receive:

  • Training Videos
    Pre-recorded training covering the business and pedagogy of group piano teaching.

  • Program Resources
    Access to teaching materials, curriculum, marketing resources, admin documents, and lesson resources created by KeyNotes Music.

  • Ongoing Support
    Access to our support channels (including our dedicated Facebook group and email support) where you can ask questions, share ideas, and receive guidance.

We may update and improve our materials over time. Your active license includes access to any updates made available to licensees.

2. Payment and Cancellation

  • Your KeyNotes Music license is billed monthly.
    The first payment is taken on enrollment, and subsequent payments are taken automatically on the same date each month.

  • How to cancel
    You may cancel your license at any time by emailing:

  • Cancellation timing
    Please allow a minimum of 3 days before your next billing date for cancellations to be processed.
    If we receive your cancellation request later than this, it may not be possible to stop the upcoming payment, and your cancellation will take effect from the following billing period.

  • Access after cancellation
    Your access to the member area, resources, and the right to use the KeyNotes Music name will continue until the end of your final paid month, and will then end.

  • Refunds
    All payments are non-refundable once processed, except where required by law.

3. Confidentiality

During our work together, you may share or gain access to business, personal, or strategic information.

Both you and KeyNotes Music agree to treat such information as confidential and not to disclose it to any third party or use it for any purpose other than delivering and improving the KeyNotes Music program, unless required by law.

4. Intellectual Property

All intellectual property rights in the Program Materials, Video Courses, Curriculum, Marketing Materials, and all other resources provided to you are and remain the exclusive property of KeyNotes Music Ltd (or its licensors).

In consideration of the fees you pay, we grant you a limited, non-transferable, non-exclusive license to use the Program Materials and resources solely for the purpose of delivering your KeyNotes Music classes while your license is active.

You agree not to:

  1. Copy, modify, reproduce, re-publish, sub-license, sell, upload, broadcast, post, transmit, or distribute any materials to others (including other teachers) except as permitted for teaching your own enrolled students.

  2. Record or share any video training sessions or screen recordings of the training area.

  3. Use the Program Materials as part of any other course, program, curriculum, or membership.

  4. Remove or obscure any copyright, trademark, or branding notices from the materials.

  5. Adapt, translate, disassemble, decompile, or reverse engineer any software or platform components used to deliver the program.

If you breach this clause, we may terminate your license and access with immediate effect.

Upon cancellation or termination of your license, you agree to:

  • Cease using all KeyNotes Music materials in your teaching; and

  • Remove references to “KeyNotes Music” from your studio marketing, website, and social media.

5. Trademarks and Branding

“KeyNotes Music” and associated logos are trademarks of KeyNotes Music Ltd.

While your license is active, you may use the KeyNotes Music name and logo only to advertise and deliver KeyNotes Music classes in line with this Agreement.

You may not create your own derivative logos or branding that could cause confusion with KeyNotes Music.

6. Liability

KeyNotes Music provides training, guidance, and resources to support your teaching and studio business. We do not guarantee specific outcomes such as student numbers, income levels, or business growth.

You remain responsible for:

  • How you deliver lessons in your studio

  • Your business decisions

  • Compliance with any local legal, tax, or safeguarding requirements

To the fullest extent permitted by law, our total liability to you for any claim arising out of this Agreement shall not exceed the total amount of license fees you have paid to KeyNotes Music in the twelve (12) months preceding the claim.

7. Termination by KeyNotes Music

We may suspend or terminate your license and access with immediate effect if:

  • You fail to make payment when due;

  • You breach any material term of this Agreement (particularly around intellectual property and branding); or

  • You engage in conduct that could reasonably be seen to damage the reputation of KeyNotes Music.

Termination does not affect any rights or obligations which have already arisen.
All confidentiality and intellectual property obligations continue after termination.

8. Governing Law

This Agreement is governed by and construed in accordance with the laws of England and Wales.
Any disputes arising in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

By enrolling in and paying for the KeyNotes Music license, you confirm that you have read, understood, and agree to these terms, and that you will honor them during the course of your membership and thereafter where applicable (for example, in respect of confidentiality and intellectual property).

I never understood how group lessons could work, because students learn at different paces. KeyNotes solves this in two ways; every single song has multiple extension challenges (difficulty levels) and its cyclical, which means there are a bunch of workbooks at each level. This means a student who needs more time and practice to master the more challenging versions of the songs will get the opportunity to do so in another book that covers the same learning objectives.
